Zaar Development Association back to full operations as High Court rules BoT has no power to dissolve elected NEC

The Federal High Court sitting in Bauchi has ruled that the former Board of Trustees of the Zaar Development Association (ZDA) has no Power to remove, suspend or interfere with the affairs of the NEC of the Association. 

The Court presided over by Justice BO Quadri explained in the judgment delivered on 3rd June, 2022  that doing that amounts to fundamental breach and a Violation of the provisions of Section 839 of CAMA 2020 stressing that their purported action is therefore null and void and of no legal effect .

The Court added that the BoT has no right to invite the National President to a Meeting whatsoever.

Justice B.O Quadri further ruled that the former BOT have been duly removed and replaced in line with Section 832 of CAMA 2020 pointing out that their continueing to parade themselves as Members of the Board of Trustees of ZDA is unlawful and illegal.

The ruling of the Court contained that, “That an order is made restraining the Former BOT, their Servants, agents and privies from parading themselves as members of the Board of Trustees of ZDA.

While reacting to the ruling of the Court, Mr.  Numshi Mailafiya, Secretary General of ZDA, stated that, “Sequel to the many mishappenings and misappropriations of powers that beclouded the activities of Zaar Development Association (ZDA) from January 2022, Which led the former Trustees to dissolve a duly elected National Executives and as such created a faction by inuagurating a Caretaker Committee”.

“Rather than take Laws into our hands to create an unnecessary squabbles, we decided to seek Legal interpretations of the rights and privileges of an elected NEC and the Board of Trustees in line with Companies and Allied Matters Act(CAMA) of the Corporate Affairs Commission”, he added.

According to him, “This for the NEC, is not a victory against anyone but a victory to initiate the healing process of our land. Soonest, we shall set up modalities through apt communication and recommendations from our Branches and Stakeholders” .

Numshi Mailafiya stressed that, “The clearest sign that we truly love God is when we love one another and as such we cannot afford to accommodate any strife or division because the enemy will be quick to take advantage of such”.
